‘the Optician-Optometrist’ or in the plural ‘the Opticians-Optometrists’, MEYE NV’s customer.
You become MEYE NV’s customer as soon as you order one or more services and/or products from MEYE NV, after approval of the quotation(s).
THE FOLLOWING HAS BEEN AGREED:
ARTICLE 1 – OBJECT/MISSION
MEYE is the partner in optics who, with the right strategic concepts, products and smart content per generation of consumers (today Generations: (bèta), Alfa, Zalfas, Z, Millennials, Y, baby boomers) and passion for the profession of the Optician-Optometrist, strives to continuously assist the quality Optician-Optometrist in her/his growth while maintaining her/his own identity.
The Optician-Optometrist can make use of a professional team, specialized in the optical world and digital marketing, for advice and for the professional implementation of the various products offered by MEYE. See also MEYE PRICE LIST regarding the prices of all MEYE NV products. (MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors. As such, MEYE may provide the contact details of the distributors in said territories.)
MEYE offers different products that reinforce each other to achieve growth while maintaining the identity of the quality Optician-Optometrist.
To maintain the identity of the Optician-Optometrist MEYE uses the unique strategic formula, part of our professional product MEYE UNIVERSITY named MEYE PROFILE. Thanks to the personal profile/fingerprint of the shop(s) of the Optician-Optometrist MEYE can provide smart content to improve your image, (digital) visibility and (A.I.) algorithm. MEYE PROFILE contains next information: general information/contacts of the shop/company, info of Designated user(s) for the APPTOSEE, list of brands of frames with official distribution license sold in the shop(s) (limited list according to the optimalisation strategy of the stock management, part of MEYE UNIVERSITY), main supplier optical lenses (MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors. As such, MEYE may provide the contact details of the distributors in said territories.), main suppliers contact lenses, main colour of the shop (according to the brand book) and (smart) logo.
Thanks to the strategic MEYE MARKETING PLAN tailor made for the store(s) of the Optician-Optometrist, MEYE implements (after offer, MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors) the next products: MEYE CONTENT through the application APPTOSEE, WEBSITE, GOOGLE BUSINESS PROFILE, WEBSHOP, SOCIAL MEDIA MANAGEMENT, SOCIAL MEDIA Ads Manager, PRINT, E-MAIL, the narrow casting MEYE SCREEN and the unique loyalty program MEYE COMFORT.
As an optional service, via personal guidance and after quotation, the Optician-Optometrist, using the product MEYE CONTENT, can be professionally guided with a view to the (A.I.) future, thanks to MEYE UNIVERSITY. The following topics can be regularly taught on personal level, via video-calls: business management by using ideal ratios, stock management according to the Generation consumers (using MEYE PROFILE), experience shop (according to the different Generations consumers) and people management (according to the different Generations consumers).
MEYE is using A.I.-tools to improve the management of the optical shop(s). This by using all knowhow, tools, and MEYE-products relate to each other to improve the (digital) visibility and (A.I.) Algorithm of the optical shop(s) of the Optician-Optometrist.
ARTICLE 2 – RULES USING PRODUCT MEYE CONTENT AND APPTOSEE
It all starts with smart content: MEYE CONTENT!
As a MEYE CONTENT-user, the Optician-Optometrist has the rights to use next content:
– Every month, new smart content is created and uploaded regarding local themes of the month, optometry, frames of different brands, optical lenses (MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors), contact lenses, yearly themes, etc.
The user can choose between different design and colours.
– MEYE creates and uploads 2 seasons a year (winter and summer) new high-end MEYE PHOTO SHOOTS and MEYE VIDEOS SHOOTS.
APPTOSEE is a unique application with high-end content for the Optician-Optometrist (from end 2025). The application makes using smart marketing easy and much more efficient for the Optician-Optometrist.
Only authorized optical stores owned by the Optician-Optometrist can log in and use the application APPTOSEE. Therefor the Optician-Optometrist will first designate the designated user(s). Account(s) for the Optician-Optometrist and their designated users are created by the intern team of the marketing Agency MEYE NV or by the optical stores themselves through the unique web-based backend platform, managed by MEYE NV.
End users are the designated users, store staff. The designated users activate their unique accounts, set-up their personal passwords in the app APPTOSEE using a unique activation code provided by the organization MEYE NV. Each designed user has a unique e-mail address, related to the owner of the optical shop(s) created by the Optician-Optometrist. There are no fees or payments processed in the application APPTOSEE for creating or managing accounts. All designated users from the application APPTOSEE are professionals and are adults. All designated users are designated by the owners Opticians-Optometrists and act under the responsibility of the owners of the optical store(s). The designated user can easily search, select and share on different social media platforms of the Optician-Optometrist. Optical store(s) owned by the Optician-Optometrist purchase their subscriptions or service packages directly via a separate business contract managed by the marketing Agency MEYE NV or by their Resellers (MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors)— never through the iOS app or Google Play.
Every month, the designated user(s) will receive some notifications when new smart content is created and uploaded. The designated user(s) can at any time change the way receiving the notifications.
APPTOSEE will be managed thanks to the MEYE PROFILE of the Optician-Optometrist. MEYE PROFILE is part of MEYE UNIVERSITY, to improve the Stock Management according to the Generation consumers.
Only the Optician-Optometrist, owner of the optical shop(s), is directly responsible for using the content/brands of suppliers of frames, optical lenses, contact lenses, etc, provided through the APPTOSEE.
The Optician-Optometrist needs an official permission from the supplier(s) of specific brand(s) before using the content offered through the APPTOSEE. MEYE has always the right to first ask the permission at the supplier(s) before according the use of the content of these specific brand(s) through the APPTOSEE. MEYE has always the right to delete the content of specific brand(s) if the specific brand(s)/supplier(s) ask MEYE to do so. MEYE has always the right, whether or not temporary, to inactivate the application APPTOSEE when the rights of using the content is not clearly described or allowed. MEYE also refers to ARTICLE 6 – RIGHTS AND OBLIGATIONS OF THE OPTICIAN.
According to the frequency and type of social media platforms the Optician-Optometrist will use content presented on the APPTOSEE each month, MEYE NV will define the quantity of content that can be used for sharing on social media platforms of the optical store(s) owned by the Optician-Optometrist. This limitation on the amount of content that can be used through the APPTOSEE is intended to prevent misuse by third parties. MEYE also refers to ARTICLE 9 EXLUSION – DAMAGES.
APPTOSEE is an intelligent marketing tool from the product MEYE CONTENT, managed by MEYE NV.
The Optician-Optometrist can also rely on the following products as a MEYE CONTENT client:
A part of our product MEYE UNIVERSITY, MEYE will organize regular webinars for the Customer Optician-Optometrist and his/her employees with next topics:
“How to post, boost and upload reels on social media”.
“How to set-up Instagram and other popular social media platforms and why!”
“Why, for whom and how enforce the digital visibility of the shop online to reach all generations consumers: (bèta), Alfa, Zalfas, Z, Millennials, Y, baby boomers?”
“So, how to make the algorithm (for use of A.I.) of your shop strong in your region?”
For each topic and more, MEYE creates video materials and digital presentations that can be used by personal of the shop.
ARTICLE 3 – PRODUCT MEYE COMFORT
MEYE COMFORT, which is among the services and products offered by MEYE, allows you to support your customers with MEYE SERVICE and/or a MEYE WARRANTY guarantee system.
MEYE COMFORT ensures that you can follow up your customers and thank them for their purchase in a structured and concrete way, for 3 years immediately following the sale The Loyalty program strategy can be different in each country/region according to the purchasing behaviour of each country/region. The Optician-Optometrist uses the intelligent database program MEYECOMFORT.COM for this.
This software enables you as the Optician-Optometrist to determine which cards your customers will receive (for example: thank you cards, call cards for maintenance, end of warranty cards, reminders to come for an eye test after 3 years and cards for specific promotions).
We produce (retro) luxury cards that are customised to include the Optician-Optometrist’s information and reflect their choices. They are individually addressed and sent to the Optician-Optometrist’s customers.
As an Optician-Optometrist, you pay a fixed fee per month for the use of this unique software system, MEYECOMFORT.COM.
The monthly fee for MEYE COMFORT includes: guidance and advice from the MARKETING SUPPORT, adjustments to the cards according to the offer from MEYE NV, software development and updates, hosting of the data, development of links with your own database system for the use of an automatic data push system (linking to a limited number of software programs) and the use of the system itself.
This fee is paid monthly by direct debit, along with the bill for the cards sent.
You pay a fixed fee for each card sent, according to MEYE’s current annual price list, which includes organisation of the printing work, the printing itself, the customised design of the cards and shipping by post.
If, as the optician, you want to automate MEYE COMFORT, you agree to establish a link between the software that you use in the shop to manage customers and the MEYE COMFORT software, in order to provide the services of MEYE COMFORT to your benefit. MEYE will send the Optician-Optometrist a list in advance containing the data that MEYE will request.
ARTICLE 4 – PRIVACY
4.1. Processing the Optician-Optometrist customers’ personal data:
The Optician-Optometrist determines the purpose for which the personal data submitted by the customers is processed and the means of doing so. The Optician-Optometrist is therefore considered to be the controller responsible for the processing of this data.
4.2. MEYE has the following obligations as the personal data processor for the Optician-Optometrist’s customers using MEYE COMFORT:
MEYE is responsible for the processing of personal data in accordance with the General Data Protection Regulation of 2016/679. In the context of MEYE COMFORT, we process consumers’ personal data, i.e. data belonging to our customers’/the opticians’ customers. This means that MEYE is solely responsible for compliance with the legal requirements related to the processing of data using MEYE COMFORT.
4.3. Purposes of the processing:
MEYE will process the consumers’ personal data and include it in a file. The purpose of the personal data processing is to be able to fulfil the contract with our customers/the opticians so that they can offer their customers (consumers) the following services:
– follow up the consumer with a loyalty program, MEYE COMFORT.
– inform the consumer about relevant products and services.
– send one or more emails regarding relevant products and services.
– send a newsletter, information or promotions for advertising and/or marketing purposes on behalf of the opticians.
Through APPTOSEE MEYE NV will collect information about the frequency and content, presented on the APPTOSEE, shares carried out on different social media accounts.
All information and analyses provided by the use through the APPTOSEE of the Optician-Optometrist will never be shared to unauthorized partners or third parties. Information or analyses concerning a specific brand or supplier can be shared to the relevant partner supplier or brand.
ARTICLE 5: QUOTES AND PAYMENTS
MEYE NV’s invoice is paid by direct debit to MEYE NV.
MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors. As such, MEYE may provide the contact details of the distributors in said territories.
The offer is valid for 1 month.
Prices exclude VAT.
The prices for door-to-door distribution do not include any municipal taxes.
Quotation:
– The quotation is an overview of projects that have been discussed together with the customer and can therefore still be changed after mutual agreement.
– This quotation is only binding once it has been approved by both parties by email.
– The price may vary as more customization is required, after approval by both parties.
– Once the quotation is approved, the design will be developed and forwarded. If the customer subsequently cancels the project, a setup fee will be charged.
Distribution:
– The final total number of letterboxes will only be clear once the distributor has confirmed.
– For flyers/folders, this is 2 weeks before effective distribution.
– For magazines/newspapers, the number is determined when ordering the newspaper/magazine, approximately 2 months in advance.
Services that MEYE offers regarding print jobs:
MEYE NV offers the complete organisation of the printing work, distribution and the formalities surrounding municipal taxes. MEYE NV is not responsible for the quality of the printing or possible delays by external companies (printing, distribution).
Cancellation of MEYE’s services:
All MEYE’s services have a notice period of 6 months, only after a 12-month subscription. Cancellation can be done by registered post or by email to invoices@meyemarketing.com.
Prices of MEYE NV’s services and products
MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors.:
All prices of the MEYE products described here have been announced to you via the current annual MEYE PRICE LIST of MEYE NV. This price list is always subject to unforeseen circumstances and price fluctuations from third parties, such as printers, copywriters and stamp costs.
The amounts are adjusted annually on January 1 to the consumer price index in accordance with the following formula: new amount is equal to old amount times new index divided by basic index. The basic index is the index figure for the month of October of the previous year. The new index will be communicated before the first invoice of the following year is drawn up, even if it is lower than the new index.
ARTICLE 6 – RIGHTS AND OBLIGATIONS OF THE OPTICIAN
During their MEYE CONTENT-membership, the Optician-Optometrist may use logos, designs, concepts, photographic materials, slogans, etc. published under the responsibility of ‘MEYE’, provided that the rights and obligations associated with the publication of the designs are respected.
The images from the periodic high-end photo shoots are intended exclusively for MEYE CONTENT-clients and may be used for a maximum of 1 year following receipt of the images in an official communication from MEYE NV. MEYE NV’s photos can be used in high resolution subject to the approval of MEYE NV. It is always mandatory to let us know the medium for which you intend to use the high-resolution material.
MEYE can provide the brands ‘MEYE SHOOT WINTER’ or/and ‘MEYE SHOOT SUMMER’ to the Optician-Optometrist. The Optician-Optometrist if is free to use the content photos and videos but cannot use or mention the brand on the content or in captions and trough hashtags without permission of the brand or MEYE. It can be mentioned if the brand is representative in the MEYE PROFILE or after written approval of the supplier-distributor of the brand(s) in name of the Optician-Optometrist.
You are required by law always to add or retain MEYE’s copyright statement and the statement of the production year on the photo, both in printed matter and for digital applications such as websites and social media.
All copyrights will also be mentioned with one of the next codes:
NON-AI: original content with use of photoshop and other effects (not A.I.)
MIX-AI: original content with use of A.I. effects
ALL-AI: content is not original but created by A.I., effects with A.I.
Original content: content created by MEYE or other sources that is not made by A.I.
MEYE wishes to maintain a good relationship with its suppliers, photographers, stylists, modelling agencies, models, copywriters, frame suppliers, lenses and contact lenses suppliers, this at any time.
MEYE NV may request brands that have not been photographed by MEYE NV directly from the supplier at any time. After approval from the relevant supplier, we will use the material for specific assignments. Please note, however, that certain brand production houses have very strict rules for campaign images. This means that we cannot use photos from certain brands in print and/or digital applications. Other messages such as discounts and promotions may never be added to a supplier’s images without permission from that supplier. MEYE always complies strictly with the supplier/partner’s BRAND BOOK.
The Optician-Optometrist undertakes not to provide the services referred to in Article 1 to persons who are not MEYE customers, see also ARTICLE 9 EXLUSION – DAMAGES.
ARTICLE 7 – DURATION
This contract shall remain in force for an indefinite period.
ARTICLE 8 – WITHDRAWAL
After 12 months subscription, a notice period of 6 months applies to all MEYE services such as MEYE CONTENT, WEBSITE, GOOGLE BUSINESS PROFILE, WEBSHOP, SOCIAL MEDIA MANAGEMENT, SOCIAL MEDIA Ads Manager, PRINT, E-MAIL, MEYE SCREEN, MEYE COMFORT and MEYE UNIVERSITY. Withdrawal is done by notification by registered letter or by email to invoices@meyemarketing.com, whereby a notice period, after 12 months subscription, of 6 months must be respected. This notice period starts on the third working day from the date of posting of the registered letter or date of email sent to invoices@meyemarketing.com. The agreement remains in full force during the notice period. MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors. As such, MEYE may provide the contact details of the distributors in said territories.
ARTICLE 9 – EXCLUSION – DAMAGES
The Optician-Optometrist who infringes the provisions of this contract will be notified of default by registered letter. If the issue is not rectified within 15 days of receiving the registered letter, the contract will be terminated by operation of law at the Optician-Optometrist’s expense.
Among other things, infringements include:
– The non-payment of invoices issued by MEYE. MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors.:
– Deliberate damage to MEYE’s reputation and prestige by the Optician-Optometrist.
– The use of content, photos, videos, text, concepts, campaigns, services and products mentioned in this contract other than at the location agreed in this contract.
The Optician-Optometrist undertakes not to provide services referred to in Article 1 to persons who are not MEYE’s customers. If the Optician-Optometrist passes on services, products, images, campaigns, photo material, texts, concepts and other elaborations of MEYE NV, deliberately or otherwise, to parties who are not MEYE CONTENT clients, the member will be immediately removed as a MEYE NV customer and, through judicial prosecution, a fine of at least 1 year of MEYE CONTENT membership, with a minimum of 2,500 euros excluding VAT, per user/shop and per year of invalid use, who is not a customer of MEYE NV. MEYE informs the Optician-Optometrist that it has distributors in certain territories who may have exclusivity in certain sectors. As such, MEYE will provide the contact details after breach of the provisions of this contract by the Optician-Optometrist to the distributors in said territories.
ARTICLE 10 – CONFIDENTIAL CHARACTER
MEYE acknowledges that all information relating to the Optician-Optometrist, of which it has become aware during the present contract, is confidential and secret. MEYE agrees not to disclose this information either during the contract or after it has ended.
The URL, QR codes and data from the shop of the Optician-Optometrist remain the sole property of the Optician-Optometrist.
ARTICLE 11 – LIABILITY
The Optician-Optometrist and MEYE are each solely responsible and liable for their own compliance and that of their employees, agents or subcontractors with the duties and obligations to which they have committed themselves in this contract.
As the Optician-Optometrist, you are solely responsible and liable towards your customers for all your possible commercial or non-commercial contracts and will ensure that the contracts are fulfilled in accordance with the General Data Protection Regulation (GDPR) and with the agreements made with these customers.
All work and assignments performed by MEYE imply an obligation of means and not an obligation of result. This means that MEYE will always make an effort to carry out the assignment to the best of its ability, without, however, being able to guarantee the result.
ARTICLE 12 – PARTIAL INVALIDITY
The invalidity or unenforceability of one or more clauses in this contract does not affect the validity and enforceability of the remaining provisions.
ARTICLE 13 – TRANSFER
This contract is not transferable, in whole or in part, without MEYE’s prior written consent. Such consent is also required in the context of a merger, sale of shares, trading activities or similar transactions.
ARTICLE 14 – APPLICABLE LAW – COMPETENT COURT
This contract is governed and interpreted in accordance with Belgian law. The courts of Antwerp have exclusive authority to rule on any dispute arising from this contract.
